By using Shopleton ("the Service"), operated by DATACLERK LLC ("we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use the Service.

Shopleton provides a platform that allows users to create and manage online shops, stores, and price catalogs through messaging platforms such as WhatsApp, WeChat, LINE, Telegram, and KakaoTalk. Users interact with our service via chat-based conversations to set up and maintain their product listings.

3. Access & Use

The Service is accessed through third-party messaging platforms. You are responsible for complying with the terms of service of the messaging platform you use to access Shopleton. No separate account registration is required; your messaging platform account serves as your identifier.

4. User Responsibilities

By using Shopleton, you agree to:

• Provide accurate and truthful information about your products and pricing.
• Comply with all applicable local, state, national, and international laws and regulations.
• Not list or sell prohibited, illegal, counterfeit, or stolen goods.
• Not use the Service for any fraudulent, deceptive, or malicious purpose.
• Not attempt to interfere with or disrupt the Service or servers connected to it.
• Respect the intellectual property rights of others.

5. Content & Intellectual Property

You retain ownership of the content you submit to Shopleton, including product listings, descriptions, images, and pricing information. By submitting content, you grant DATACLERK LLC a non-exclusive, worldwide license to use, store, and display that content solely for the purpose of operating and providing the Service.

The Shopleton name, logo, and all related marks are the property of DATACLERK LLC. You may not use our trademarks without prior written permission.

6. Prohibited Content

You may not use Shopleton to sell or promote:

• Illegal drugs, weapons, or controlled substances.
• Counterfeit or pirated goods.
• Content that is obscene, defamatory, threatening, or harassing.
• Goods that infringe on the intellectual property rights of others.
• Any items prohibited by applicable law.

7. Availability & Modifications

We strive to keep Shopleton available at all times but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time without notice.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

Shopleton is a platform for creating shops and catalogs. We are not a party to any transactions between you and your customers. We do not guarantee the quality, safety, or legality of items listed, nor the ability of sellers to sell or buyers to pay.

9. Limitation of Liability

To the fullest extent permitted by law, DATACLERK LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved in the courts located in the jurisdiction where DATACLERK LLC is registered.
